Innovatewithaima – Network Participation Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and participation in the InnovatewithAima network.

References to “Innovatewithaima”, “IWA”, “we”, “us”, or “our” mean Innovatewithaima Ltd.

2. Definitions

  • Partner: A business, organisation, or sole trader that provides commercial opportunities, projects, or work requirements distributed within the IWA network.

  • Client: An independent freelancer, contractor, virtual assistant, or entrepreneur who holds an active paid membership to access opportunities and submit proposals.

  • Opportunity: Any project, role, engagement, or work requirement made available through the IWA network.

  • Network Tools: Any systems, processes, dashboards, or tools provided by IWA to facilitate participation.

3. Nature of the Relationship

3.1 IWA operates a private professional network. It is not an employer, recruitment agency, or employment intermediary.
3.2 Clients act as independent contractors and are responsible for their own tax, VAT, insurance, and legal compliance.
3.3 Nothing in these Terms creates an employment relationship or joint venture between any party.

4. Eligibility, Registration & Approval

4.1 Access to the network is subject to approval and ongoing compliance.
4.2 Registration or payment does not guarantee acceptance or continued access.
4.3 IWA reserves the right, at its discretion, to approve, reject, suspend, or remove any Partner or Client account.

5. Membership & Fees (Clients)

5.1 Clients access the network via a rolling monthly membership.
5.2 Membership fees are payable in advance and are non-refundable once the billing period has commenced.
5.3 Failure to renew membership will result in immediate loss of access to opportunities and network tools.
5.4 IWA reserves the right to amend membership pricing, features, or access levels. Any changes will apply on renewal unless stated otherwise.

6. Opportunities & Proposals

6.1 Opportunities are provided by Partners and distributed within the network at IWA’s discretion.
6.2 Clients may submit proposals or express interest where invited to do so.
6.3 Submission of a proposal does not guarantee selection or engagement.
6.4 Selection decisions are final and not subject to appeal.

7. Engagements & Communication

7.1 Once an engagement is agreed, direct communication between Partners and Clients is permitted.
7.2 Such communication does not alter the independent contractor relationship or these Terms.
7.3 Contracting outside the IWA network remains prohibited unless expressly authorised.

8. Payments

8.1 In most cases, Partners pay Clients directly for completed work.
8.2 Where IWA facilitates payment through network tools, this does not create liability for IWA.
8.3 IWA is not responsible for payment defaults, delays, or disputes.
8.4 Where requested, IWA may assist with dispute resolution, including issuing debt reminder communications, without assuming liability.
8.5 Payment handling and timelines may be agreed privately on a case-by-case basis.

9. Non-Circumvention & Conduct

9.1 During an active membership period, Clients must not solicit, contract with, or provide services directly to Partners outside the IWA network without written consent.
9.2 Partners must not engage Clients outside the IWA network during the Client’s active membership unless authorised.
9.3 Breach of this clause may result in immediate suspension or termination.

10. Confidentiality & NDAs

10.1 All opportunity details, partner information, and network materials are confidential.
10.2 Additional non-disclosure agreements may apply and must be complied with.
10.3 Confidentiality obligations survive termination.

11. Performance & Standards

11.1 Clients are expected to meet agreed timelines, quality standards, and professional conduct.
11.2 Repeated failure to meet standards may result in reduced access, suspension, or termination.

12. Suspension, Restriction & Termination

12.1 IWA may suspend, restrict, or terminate access where necessary to protect the network, partners, or reputation.
12.2 Where reasonably possible, notice will be provided.
12.3 Non-renewal of membership may be used as an alternative to suspension.
12.4 IWA retains discretion in all such decisions.

13. Reputation & Brand Protection

13.1 IWA may take action where conduct may reasonably damage its reputation, relationships, or standing.
13.2 This includes misrepresentation of affiliation or public statements that undermine the network.

14. Network Tools

14.1 Network tools are provided on an “as available” basis and may evolve over time.
14.2 IWA does not guarantee uninterrupted access or functionality.

15. Intellectual Property

15.1 Deliverables belong to the Partner or end client as agreed.
15.2 All IWA branding, systems, materials, and processes remain the property of IWA.

16. Data Protection

16.1 IWA processes personal data in accordance with applicable data protection laws.
16.2 Given the nature and scale of processing, a dedicated Data Protection Officer is not required.

17. Limitation of Liability

17.1 IWA shall not be liable for indirect, consequential, or economic losses.
17.2 Liability is limited to fees paid to IWA during the relevant billing period, where permitted by law.

18. Assignment & Verification

18.1 Accounts may not be assigned or transferred without written consent.
18.2 Changes to ownership or details may require re-verification and may result in temporary restriction.

19. Dispute Resolution

19.1 Parties agree to attempt informal resolution in good faith.
19.2 Where applicable, IWA may issue debt-related communications.
19.3 No obligation to pursue formal legal proceedings is assumed.

20. Amendments

20.1 IWA may update these Terms from time to time.
20.2 Continued participation constitutes acceptance of updated Terms.

21. Governing Law

These Terms are governed by the laws of England and Wales.
